Terms of Service

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for breeders operating a business and for buyers interacting with those breeders.

The Service

Whelpify provides software tools for breeder websites, waitlists, buyer accounts, applications and forms, reservations, deposits and payments, notifications, and related operations. We may add, change, or remove features over time. We are a software provider; we are not a party to any transaction, contract, or relationship between a breeder and a buyer.

Accounts and security

You are responsible for keeping your account credentials secure and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or disable accounts that pose a security or compliance risk.

Breeder responsibilities

Breeders are solely responsible for:

• the content, photos, descriptions, pricing, and breeding-program information they publish, and its accuracy and legality;
• their communications, contracts, disclosures, health guarantees, and refund and cancellation policies with buyers;
• their animal-care, welfare, licensing, consumer-protection, advertising, tax, and other legal and regulatory obligations;
• obtaining any required consents from buyers and handling buyer data they collect in accordance with applicable law (Whelpify acts as a processor for that data); and
• honoring the payment, deposit, and refund terms they set for their buyers.

Acceptable use

You agree not to use the Service to:

• violate any law or the rights of others;
• post false, fraudulent, infringing, or harmful content;
• attempt to gain unauthorized access to the Service, other users' data, or related systems;
• interfere with or disrupt the integrity or performance of the Service; or
• misrepresent animals, health status, or pricing, or engage in deceptive practices toward buyers.

Payments, plans, and breeder–buyer transactions

Subscription plans for the Service are billed through our payment processor, Stripe. Fees are described at sign-up or on our pricing page and, unless stated otherwise, are recurring and non-refundable except as required by law. You can cancel a subscription as described in your account; cancellation stops future charges but does not refund amounts already billed.

Payments between breeders and buyers (such as deposits and balances) are processed through the breeder's own connected Stripe account or through offline methods the breeder configures. Whelpify does not hold these funds and is not responsible for breeder–buyer payments, refunds, chargebacks, or disputes, which are the breeder's responsibility.

Third-party services

The Service integrates with third parties such as Stripe, Resend, Cloudflare, Google, Anthropic, and Meta (Facebook and Instagram). Your use of those integrations is also subject to the third party's terms and policies. We are not responsible for third-party services.

Content and intellectual property

You retain ownership of the content you upload or create. You grant Whelpify a worldwide, non-exclusive license to host, store, process, display, and transmit your content as needed to operate and provide the Service. Whelpify and its licensors own the Service itself, including its software, design, and trademarks. You may not copy, modify, or reverse engineer the Service except as permitted by law.

AI-assisted features

The Service may use AI to import media and generate starter content during setup. AI output can be inaccurate or incomplete. You are responsible for reviewing and editing AI-generated content before publishing it, and for ensuring it is accurate and compliant.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Whelpify will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid to Whelpify for the Service in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Whelpify harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your transactions or relationships with buyers, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of [STATE], United States, without regard to its conflict-of-laws rules. You and Whelpify agree to the exclusive jurisdiction of the state and federal courts located in [COUNTY/STATE] for any dispute not subject to binding arbitration, to the extent permitted by law.
